1. Acceptance of Terms
By accessing or using the website of World Wide Sourcing Pte. Ltd. ("Company", "we", "our", "us") or our sourcing, logistics, freight forwarding, and IT services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or Services. We reserve the right to update these Terms at any time without prior notice. Your continued use constitutes acceptance of the revised Terms.
2. Use of Website
You may use our website only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable local, national, or international laws or regulations.
- Attempt to gain unauthorized access to any part of the website, servers, or databases.
- Use any robot, spider, scraper, or other automated means to access the site for any purpose without our express written permission.
- Interfere with or disrupt the security, performance, or proper functioning of the website.
- Transmit any viruses, malware, or other harmful code.
- Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
3. Services & Quotes
All quotes, shipping estimates, and sourcing proposals provided by us are valid for 30 days from the date of issuance unless otherwise stated in writing. Final pricing may be adjusted based on:
- Changes in fuel prices, currency exchange rates, or freight market conditions.
- Additional services requested after the initial quote (e.g., extra packaging, storage, insurance).
- Customs duties, taxes, or tariffs imposed by destination countries.
- Unforeseen delays or changes in cargo volume/weight.
We strive for accuracy but do not guarantee error‑free estimates. A binding agreement is formed only upon our written confirmation of an order or invoice.
4. Order Acceptance & Cancellation
We reserve the right to refuse or cancel any order for reasons including but not limited to: product availability, pricing errors, credit or payment issues, suspected fraud, or inability to meet shipping deadlines. You may cancel an order within 24 hours of placement subject to a cancellation fee if shipping preparations (including carrier booking or consolidation) have already commenced. Cancellation fees will be communicated at the time of cancellation.
5. Shipping & Risk of Loss
Title and risk of loss for goods transfer to you upon delivery to the carrier at the origin port or warehouse (for shipments on FOB terms). For door‑to‑door services, risk transfers upon delivery to your designated address. We are not liable for delays caused by:
- Carriers, freight forwarders, or customs authorities.
- Weather events, natural disasters, strikes, or acts of God.
- Government actions, embargoes, or changes in import/export regulations.
We will assist with insurance claims when you have purchased cargo insurance, but we are not responsible for filing claims on your behalf beyond providing necessary documentation.
6. Customs Clearance & Documentation
You are responsible for providing accurate and complete documentation for customs clearance (commercial invoices, packing lists, certificates of origin, etc.). We may assist with brokerage services, but you remain ultimately responsible for the accuracy of information provided and for payment of all duties, taxes, and penalties. Any delays or additional costs arising from incorrect or incomplete documentation shall be borne by you.
7. Limitation of Liability
To the fullest extent permitted by law, World Wide Sourcing Pte. Ltd. and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising from these Terms or your use of our Services shall not exceed the total fees paid by you to us for the specific shipment or service giving rise to the claim, or SGD 1,000, whichever is less.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
8. Intellectual Property
All content on this website, including but not limited to text, graphics, logos, images, software, and compiled data, is the property of World Wide Sourcing Pte. Ltd. or its licensors and is protected by Singapore and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content without our prior written permission.
9. User Submissions & Feedback
If you submit ideas, suggestions, feedback, or other information to us (excluding personal data covered by our Privacy Policy), you grant us a perpetual, irrevocable, royalty‑free, worldwide license to use, modify, and incorporate such submissions into our Services without compensation to you.
10. Third‑Party Links
Our website may contain links to third‑party websites (e.g., carrier tracking portals, payment gateways). We are not responsible for the content, privacy practices, or terms of those sites. Your use of third‑party sites is at your own risk.
11. Indemnification
You agree to indemnify, defend, and hold harmless World Wide Sourcing Pte. Ltd., its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your misuse of our Services, or your violation of any third‑party rights or applicable laws.
12. Governing Law & Dispute Resolution
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules, or, at our sole discretion, in the courts of Singapore. You agree to submit to the personal jurisdiction of such courts or arbitral tribunals.
13. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, strikes, government orders, or carrier failures. Performance shall be suspended for the duration of the force majeure event.
14. Severability & Waiver
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
15. Entire Agreement
These Terms, together with our Privacy Policy and any written agreements executed between you and us for specific services, constitute the entire agreement between you and World Wide Sourcing Pte. Ltd. regarding your use of our website and Services, superseding any prior agreements or understandings.
